Capital markets & transaction communications

Whether you need to explain your corporate strategy and the benefits of a transaction to the markets, secure the long-term confidence of investors or gain their support for a capital issue: as our client, you will benefit from our experience and the expertise of our advisers.

Mergers and takeovers, IPOs and capital issues are all mission-critical transactions — and ones which are infrequent for most companies. But when they do take place, communication is crucial. In our globalised economy, capital markets are growing increasingly complex, with the large numbers of parties involved and the more stringent requirements. With the knowledge and experience of several hundred transactions under our belt, we structure processes and help our clients both to develop a communication strategy and implement it.

Beyond advice on individual transactions, we also give companies – from DAX corporate groups to SMEs looking to the capital market for funding – long-term help to communicate with financial markets. We work with our clients to further refine their equity story, or provide highly practical assistance with the various landmarks in the financial calendar – preparing quarterly reports, AGMs or meetings with investors, for example.
Whether you are concerned about recurring communicational issues or particular transactions, we make sure the right messages reach the right stakeholders across the entire marketplace.

Mergers & Acquisitions

A transaction can be only successful with the support of the equity market, but we believe it also requires the backing of employees and business partners, as well as the media, politicians, and regulators. We work with our clients to make sure all target groups are adequately informed about the context and consequences of a proposed M&A transaction, thus improving the prospects of it being broadly accepted.

As the market leader in Germany, we have overseen more than 350 M&A transactions with a total volume of more than 380 billion euros.
We increase transaction security and minimise our clients’ communication risks – whether they are the buyer or the target company, whether it’s a private SME acquisition or the public takeover of one major group by another. Many of the transactions we assist are of a cross-border nature. Together with Finsbury, our strategic partner, we cover all of the most important global financial centres.

In close cooperation with our clients’ legal and financial advisers, we ensure that their interests and arguments and the added value of the transaction are clearly articulated to all target groups. We identify the most important stakeholders and analyse potential opportunities and threats to communication. We work with our clients to develop a convincing story with a strategic vision, highlighting the transaction’s potential for adding value. We make sure that the messages from all the company’s communicators are conveyed in such a way that they contribute to the success of the transaction.

Corporate actions

When markets are volatile, windows for capital market transactions such as IPOs, capital increases, and bond issues become shorter and shorter – while the transactions themselves become more and more complex. That is why we provide our clients with strategic advice at the design stage. This is our way of making sure they are communication-ready as soon as the right opportunity opens up.

Raising capital requires an effective presentation of a company’s potential, its ability to adjust to changes in its environment, and the experience and expertise of its management team. In other words: a convincing narrative. We cooperate with the client and its banks and legal advisers to develop the equity story with clear messages, making sure these messages comport with the upcoming corporate action and are tailor-made for the individual target groups. We develop the media and investor relations strategy, prepare the communication materials required for them, train management for its meetings with capital market participants and the media, and provide comprehensive support for the implementation of the strategy.

Our involvement in the transaction at an early stage enables us to identify – and react to – critical issues appropriately, positioning the company and its decision-makers in the public eye before the transaction is imminent.

In the preparation and implementation of capital issue, we become the central interface between management, communication staffs, and the other parties involved in the process, thus contributing to process security.

We help listed companies communicate their quarterly and annual results, prepare for their AGM, and announce any price-relevant events. We also advise them on the content and the conceptual refinement of their financial communication. Besides the presentation of financial results, this also includes the coherent explanation of corporate strategies and a convincing representation of the opportunities arising from changes in the market and the competitive environment.

We have knowledge of the media and sector environment needed to develop suitable messages and transmit them to the market.
